Terms of service

The terms binding Utopia Data and every user who captures, commissions or queries ground level spatial data on the network.

Your use of the websites, applications, APIs and services that Utopia Data operates ("Utopia Data", "Utopia", "we", "us" or "our", and collectively the "Service") is governed by these Terms of Service (the "Terms"). Using or accessing the Service means you accept these Terms as binding. Do not use the Service if you are unwilling to accept them.

We publish this document so the workings of the Service are transparent; it does not constitute legal advice. Where a signed enterprise agreement between you and Utopia Data says something different from a provision here, the signed agreement wins.

1. Who these terms cover #

Three categories of user fall under these Terms, and certain sections speak to only one of them:

  • Contributors use a phone or other device to record captures and submit them to the network.
  • Requesters create and fund bounties asking contributors to capture a particular place.
  • Enterprise customers query, stream or license verified data via the API or under a dedicated agreement.

Nothing stops you from occupying several of these roles at once. A section written for one role binds you only while you are acting in that capacity.

2. Eligibility and accounts #

Use of the Service requires that you are 18 or older, or have reached the age of majority where you live if that age is higher. Your use of the Service is a representation that you satisfy this requirement and that you are authorized to accept these Terms, whether for yourself or for an organization you act for.

Rather than an email address and password, a self custodied wallet is what authenticates access. Securing the keys and credentials that control that wallet is your responsibility, and anything done through your wallet counts as authorized by you. Because we have no ability to recover a wallet or undo a transaction for you, guard your keys carefully.

3. The Service #

The network Utopia Data runs exists to capture, verify and distribute ground level spatial data. Short multi angle clips of physical places are recorded by contributors, with faces and vehicle plates blurred on the device before any upload occurs. Captures that pass acceptance are turned into 3D models and structured data, receive a provenance record and become available to requesters and enterprise customers.

Any part of the Service may be changed, suspended or discontinued by us at any time. For material changes affecting paid access, we will make reasonable efforts to provide notice.

4. Contributor terms and content license #

Ownership of the original footage you record stays with you. Since unblurred footage never leaves your device, it never reaches us, and we assert no rights in it whatsoever.

Submitting a capture grants Utopia Data a worldwide, non exclusive, sublicensable, royalty free license covering the blurred capture and all material derived from it: to host, store, process, reproduce, adapt, reconstruct into derived 3D models and structured data, distribute and license it, in order to operate and improve the Service and to deliver data to requesters and enterprise customers. Even if you stop using the Service, this license survives for material you have already submitted, to whatever extent is needed to fulfill commitments already made to customers.

You represent and warrant each of the following:

  • Either you recorded the capture yourself or you hold every right required to submit it.
  • Recording at that location was within your rights, and you followed applicable laws during capture.
  • Beyond what on device blurring is built to handle, the capture infringes no one's intellectual property, privacy or other rights.
  • The capture has not been altered, staged or fabricated in a way that misrepresents a place or a time.

Deletion of captures tied to your wallet can be requested through the process in our Privacy policy. We will honor those requests, unless retention is required to satisfy a legal obligation or to complete a transaction a requester has already accepted.

5. Privacy and prohibited captures #

Safeguarding the people who appear in captures is not optional; it is a condition of using the Service. Disabling, bypassing or defeating the on device blurring of faces and plates is prohibited. Also prohibited: submitting captures of a private home's interior without the right to do so, captures made to surveil or harass a particular individual, and captures taken where recording is against the law.

If this section is violated, we may take down any capture, decline any submission and suspend any account, whether or not we give notice.

6. Bounties #

A bounty, posted by a requester, describes a place to capture and the reward on offer. Before any work starts, the reward is placed in USDC escrow, which lets a contributor verify the reward exists before investing time in a capture. That escrow remains locked until either the requester accepts a submission or the bounty is cancelled or expires.

  • Acceptance. Accepting a submission automatically releases the escrow to the contributor and sends the capture on to reconstruction. Once given, acceptance cannot be reversed.
  • Cancellation and expiry. Up until a submission is accepted, a requester is free to cancel the bounty. Should the bounty expire without any accepted submission, the escrowed reward goes back to the requester by the same route it was funded.
  • Requester obligations. Submissions must be evaluated in good faith; the review process must not be exploited to extract usable data without accepting and paying for it.
  • Contributor obligations. Only captures that genuinely meet the brief may be submitted.

7. Points #

On the network, points serve as a non monetary indicator of contribution and rank. They are not currency: they carry no cash value, cannot be redeemed, transferred or exchanged for money, and give rise to no claim against Utopia Data. To keep the ranking honest, for instance after abuse or an error, we may adjust, expire or reset points.

8. Fees and payments #

The fees for enterprise access and other paid features appear at the point of purchase or in your enterprise agreement. Fees are non refundable, unless the law requires otherwise or we say otherwise in writing. Taxes arising from your use of the Service are yours to bear, other than taxes on our net income. Escrow and bounty rewards travel over public payment rails; their confirmation times and network costs are not within our control.

9. Enterprise and API terms #

Accessing data through the API obliges you to:

  • Treat your API keys as confidential and own every request made with your key.
  • Remain within your plan's rate limits and usage volumes.
  • Handle the data you receive as your agreement requires, including any commitments on data residency, sovereignty and retention.
  • Refrain from reselling or redistributing delivered data beyond what your agreement allows.

Where API usage exceeds plan limits, endangers the stability of the Service or violates your agreement, we may throttle, suspend or revoke that access.

10. Acceptable use #

You agree that you will not:

  • Use the Service to break the law or violate anyone else's rights.
  • Introduce malware or try to gain unauthorized entry to the Service, other accounts or our systems.
  • Disrupt the Service, subject it to unreasonable load, or scrape it other than through the documented API.
  • Reverse engineer the Service, except where the law forbids us from restricting that.
  • Falsify the origin, location or time of a capture, or game verification, bounties, points or ranking.

11. Intellectual property #

Intellectual property laws protect the Service, its software, design, text, branding and the compilation of data it makes available, all of which belong to Utopia Data or its licensors. Beyond the limited right to use the Service as these Terms describe, you receive no rights in our marks or software. Any data delivered to you is licensed under the terms accompanying it; it is not sold.

12. Third party services #

Third party services, including public payment and provenance infrastructure, are both relied on and linked to by the Service. Those services are outside our control and outside our responsibility. When you use a third party service, its own terms apply to you.

13. Disclaimers #

We provide the Service "as is" and "as available". To the fullest extent the law allows, every warranty is disclaimed, express, implied or statutory alike, including warranties of merchantability, fitness for a particular purpose, title and non infringement. No promise is made that the Service will run without interruption, errors or security failures, or that any capture, model or dataset will be complete, accurate or suitable for any given use. Verification increases confidence in data; it is not a guarantee.

14. Limitation of liability #

To the fullest extent the law allows, neither Utopia Data nor its officers, employees or agents will be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, data or goodwill, in connection with your use of the Service. For all claims relating to the Service combined, our liability is capped at the larger of two amounts: what you paid us for the Service during the twelve months preceding the event that gave rise to the claim, or one hundred United States dollars. Certain jurisdictions disallow some of these limitations, in which case parts of this section may not apply to you.

15. Indemnification #

You will indemnify and hold harmless Utopia Data together with its officers, employees and agents against any claim, loss, liability and expense, reasonable legal fees included, that arises from your captures, from your use of the Service, or from your breach of these Terms or of applicable law.

16. Term and termination #

For as long as you use the Service, these Terms apply. Walking away is always your right. On our side, we may suspend or end your access at any time if you break these Terms, if the law compels us, or if continuing to serve you would put us or others at risk. Provisions that ought by their nature to outlast termination do so, among them the licenses covering material already submitted, the disclaimers, the limitations of liability, the indemnification obligations and the governing law clause.

17. Changes to these terms #

These Terms may be revised from time to time. For material changes, the date at the top of this page will be updated and, where it makes sense, further notice given. If you keep using the Service once changes are in force, you have accepted the revised Terms.

18. Governing law and disputes #

The laws of the State of Delaware, United States, govern these Terms, its conflict of laws rules excluded, except where mandatory local law says otherwise. You agree that before bringing any formal claim, you will reach out to us and spend at least thirty days trying to settle the dispute informally. If informal resolution fails, the dispute belongs exclusively to the courts located in Delaware, unless binding arbitration or another venue is specified in your enterprise agreement.

19. General #

Together with every policy or agreement referenced in them, these Terms make up the entire agreement between you and Utopia Data concerning the Service. Should any provision prove unenforceable, the remainder stays in force. If we do not enforce a provision, we have not waived it. Assignment of these Terms by you requires our consent; we may assign them in the context of a merger, acquisition or sale of assets. Events beyond a party's reasonable control excuse that party's delay or failure to perform.
